1. Who you are agreeing with

Ledgibly is operated by [Registered company name not set], of [Registered address not set]. In this document “we” and “us” mean that company, and “you” means the person holding the account.

2. What Ledgibly is — and what it is not

Ledgibly is bookkeeping and accounting software. It records what you tell it, arranges those records into ledgers and reports, and gives you tools to reconcile them against your bank.

It is not an accountant, a bookkeeper, a tax adviser or a lawyer, and nothing it produces is professional advice. A report is a rearrangement of what you entered. If what you entered is wrong, the report will be confidently wrong, and we have no way to know. Filing obligations, tax positions, payroll withholding and the correctness of your books remain yours. Ledgibly does not compute tax and does not decide what is deductible.

3. Early access

Ledgibly is in early access and is currently invitation–only. Features may change, be withdrawn, or behave unexpectedly. Do not rely on it as your only record of anything you would be unable to reconstruct.

4. Your account

You agree to give accurate registration details and to keep your password to yourself. An account belongs to one person: sharing a login makes the audit trail meaningless, and the audit trail is often the thing that matters most later. You are responsible for what happens under your account, and for the people you invite into a business you control — including what they can see and change through the role you give them.

Tell us promptly if you believe someone else has access to your account.

5. Your data belongs to you

The records you enter are yours. We claim no ownership of them, and we do not use them to train anything or sell them to anyone. We store and process them to run the service for you, and to keep it secure.

You can export your data, and you can ask us to delete your account. See the Privacy Policy for how that works and what we are obliged to keep.

6. Acceptable use

Do not use Ledgibly to break the law, to store material you have no right to store, to attack or overload the service, to probe it for vulnerabilities without our written permission, or to circumvent limits on your plan. Do not resell access without agreement.

7. Fees

Where a plan carries a charge, the price, what it includes and the billing period are shown before you subscribe. Charges are based on the seats a business holds. Changes to pricing apply from your next billing period, never retrospectively. Unless the law says otherwise, payments already taken for a period are not refunded when an account is closed part–way through it.

8. Availability

We work to keep Ledgibly available, but we do not promise uninterrupted service. Maintenance, faults and things outside our control will sometimes interrupt it. We take backups; you should still keep your own copies of anything critical.

9. Suspension and closure

You may close your account at any time. We may suspend or close an account that breaches these terms, that is being used to harm the service or other users, or where we are required to. Except where the breach makes it inappropriate, we will tell you why and give you a chance to retrieve your data.

10. Liability

This clause must be drafted and checked by a qualified lawyer for [Governing law / jurisdiction not set] before launch. It is deliberately left unwritten rather than filled with boilerplate that may be unenforceable or unfair.

11. Changes to these terms

These terms carry a version number. When we publish a new version we record it separately, and you will be asked to agree to it — agreeing to one version is never taken as agreeing to a later one. We keep a record of which version you accepted and when.
